Full compliance with our Code of Conduct takes priority in all business-related activities regardless of the nature of the activities or where or when they may occur.

Our Code of Conduct is our code of ethics for purposes of Item 406 of Regulation S-K and is our code of conduct for purposes of NASDAQ Marketplace Rules.

Role of the Board of Directors

The Board of Directors’ primary responsibility is to oversee the Company’s management and to assure that the long-term interests of the stockholders are being served. The Board is responsible for oversight of Dex Media’s business, conducted under the direction of the senior executive officers. The Board and Management both recognize that stockholders’ long-term interests are advanced by responsibly addressing the concerns of other stakeholders essential to the Company’s success, including its employees, clients, and suppliers, the government, and the public.
